SYTNYK & PARTNERS, Attorneys at Law, advised Robert Bosch GmbH (Stuttgart, Germany) in obtaining the merger clearance from the Antimonopoly Committee of Ukraine in connection with (і) establishment of a joint venture through the acquisition by Danfoss Silicon Power GmbH (Flensburg, Germany) of shares in BD Kompressor Holding GmbH & Co.

KG (Lollar, Germany) from Bosch Thermotechnik GmbH (Wetzlar, Germany), a wholly-owned subsidiary of Robert Bosch GmbH, that confers upon the acquirer 50% of the voting rights in the highest management body of the company, (ii) concerted actions between Robert Bosch GmbH and Danfoss Silicon Power GmbH without such actions leading to the coordination of competitive behaviour, as provided for in the Joint Venture Agreement between Danfoss Silicon Power GmbH and Bosch Thermotechnik GmbH.
